(2) To approve the Silo Pharma, Inc. Amended and Restated 2020 Omnibus Equity Incentive Plan.

(3) To authorize the reincorporation of the Company from the State of Delaware to the State of Nevada.

(4) To approve an amendment to the Company’s Amended and Restated Certificate of Incorporation to decrease the number of authorized shares of common stock of the Company from 500,000,000 to 100,000,000.

(5) To ratify the appointment of Salberg & Company, P.A. as our independent registered public accounting firm for the fiscal year ending December 31, 2023.
